Unless otherwise agreed in writing, all services are provided on a professional best-effort basis.

5. Client Responsibilities

Clients agree to:

6. Pricing & Payments

Unless otherwise agreed:

• Monthly services are billed in advance.
• One-time projects may require an upfront deposit before work begins.
• Outstanding invoices must be paid according to the agreed payment terms.
• Late payments may result in suspension of services until payment has been received.
• Applicable taxes remain the responsibility of the client unless otherwise stated.

7. Project Timelines

Estimated delivery dates are provided in good faith.

Project timelines may be affected by:

• Delayed client feedback
• Additional feature requests
• Scope changes
• Technical limitations
• Third-party service interruptions
• Circumstances beyond our reasonable control

AKNEX Digital will make reasonable efforts to keep projects on schedule.

8. Changes to Scope

Requests outside the agreed project scope may require:

Any additional work will only begin after mutual agreement.

9. Intellectual Property

Upon full payment:

• Ownership of final approved project deliverables transfers to the client unless otherwise agreed.
• AKNEX Digital retains ownership of proprietary frameworks, reusable code, internal tools, templates, methodologies, automation systems, and development processes.
• Unless confidentiality has been agreed in writing, AKNEX Digital reserves the right to showcase completed work within its portfolio.

10. AI-Assisted Services & Human Review

AKNEX Digital may use artificial intelligence and automation technologies to improve efficiency throughout project delivery.

However:

• Every significant deliverable is reviewed by experienced professionals before delivery.
• AI supports productivity but does not replace professional expertise.
• Human oversight remains central to our design, development, and marketing processes.

11. Secure Development Practices

Security is an important part of our development process.

Our team follows secure coding best practices, manual quality assurance procedures, and professional review processes to reduce coding errors, improve maintainability, and deliver reliable digital solutions.

While we implement industry-standard security measures, no website, software application, or online service can be guaranteed to be completely free from vulnerabilities or security risks.

14. Confidentiality

Both AKNEX Digital and the client agree to keep confidential information private unless disclosure is:

• Required by law
• Authorized by the other party
• Already publicly available

Confidential information includes business strategies, credentials, proprietary data, customer information, and project materials.

15. Limitation of Liability

To the maximum extent permitted by applicable law, AKNEX Digital shall not be liable for:

• Indirect damages
• Loss of profits
• Business interruption
• Loss of revenue
• Loss of data
• Loss resulting from third-party services
• Consequential or incidental damages

Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.

16. Indemnification

The client agrees to indemnify and hold harmless AKNEX Digital, its employees, contractors, and affiliates against claims arising from:

• Client-supplied content
• Copyright infringement by the client
• Illegal business activities
• Breach of these Terms
• Misuse of our services

17. Termination

Either party may terminate services according to the applicable agreement.

Upon termination:

• Outstanding invoices remain payable.
• Work completed prior to termination remains chargeable.
• Ongoing services may cease immediately where appropriate.

18. Force Majeure

AKNEX Digital shall not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, internet outages, cyber incidents, government actions, labour disputes, or other unforeseen events.
